Insurance software vendor Guidewire is set to takeover UK-headquartered underwriting platform hyperexponential under a buyout agreement worth as much as $2.1bn.

The transaction structure features an upfront cash outlay of $1.7bn, which remains subject to closing modifications, alongside earn-out provisions that could deliver an extra $400m if the business satisfies designated recurring revenue milestones.

Based in London, hyperexponential creates software built around artificial intelligence to modernise how commercial property and casualty carriers analyse risk and set policy rates.

The firm already works within Guidewire’s partner network, and its pricing models underpin decision-making on upwards of $75bn in yearly commercial premiums handled by insurers, reinsurers, and managing general agents, according to the statement.

hyperexponential CEO and co-founder Amrit Santhirasenan said: “Together, we’ll bring insight from submission to bind and from the individual risk to the entire portfolio. With hx and Guidewire, insurers will be able to respond to submissions faster and, more importantly, improve loss ratios and allocate capital more effectively.”

Guidewire intends to integrate the platform to pioneer collaborative, AI-assisted underwriting.

Under this operating framework, autonomous digital assistants work alongside human actuaries and underwriters, filtering submissions, pricing exposures, and expediting quotes across both standard commercial portfolios and complex speciality covers.

The rationale centres on throughput and precision.

By offloading routine technical tasks and standardising baseline risk analysis, carriers are expected to manage higher submission volumes, quote faster, and direct human expertise toward outlier risks and niche market expansion without sacrificing underwriting discipline.

The takeover also provides a measurable lift to Guidewire’s financial trajectory.

Guidance indicates the acquired operations will inject a minimum of 650 basis points into fiscal 2027 annual recurring revenue through inorganic expansion.

Beginning in fiscal 2028, the company anticipates the business will yield an ongoing organic boost of no less than 150 basis points to baseline ARR, all while preserving established margin targets.

The deal is expected to close in Guidewire’s FY 2027 second quarter, which will run up to 31 January 2027.

Guidewire CEO Mike Rosenbaum added: “Guidewire and hyperexponential are uniquely positioned to deliver industry-specific AI solutions that will transform commercial underwriting. Together we will bring greater and more scalable intelligence to the insurance decisions that will help underwrite the risks of tomorrow.”
