The offer represents a premium of approximately 44% to CCC’s unaffected closing share price on 9 July 2026, before media speculation around a potential sale.
It also represents a premium of approximately 59% to the company’s 30-day average share price as of that date.
US-based CCC supplies software-as-a-service (SaaS) and AI software to insurers, repairers, vehicle manufacturers and parts suppliers participating in the insurance and repair economy.
The company states that its network connects more than 35,000 businesses and draws on 40 years of industry data.
CCC will continue as a publicly traded and independently operated company until the transaction closes.
Following completion, its common stock will be delisted from Nasdaq and the company will become privately held.
The acquisition is expected to close in the first quarter of 2027 (Q1 2027), subject to regulatory clearances, shareholder approval and other customary closing conditions.
CCC’s Board of Directors has approved the transaction, which is not subject to a financing condition.
The company is due to publish its Q3 2026 financial results on 29 October 2026. In view of the pending acquisition, it will not conduct an earnings call or webcast.
CCC chairman and CEO Githesh Ramamurthy said: “With GTCR and Elliott’s experience and resources, we will continue to build on our momentum and extend our leadership. Together, we will accelerate the AI and agentic capabilities our customers want from us, expand the network at the centre of our platform, and continue to develop and build our world-class team.”
Founded in 1980, GTCR invests in business and consumer services, financial services and technology, healthcare, and technology, media and telecommunications.
Elliott Investment Management was founded in 1977 and reported approximately $80.3bn in assets under management as of 30 June 2026.
